Counters the fact that it provides extra quanta by being Solid (unable to be made immaterial by Enchant Artifact or any other similar abilities.)

Artwork is mine, but if you have better (could hardly have worse) and would like to see it up, let me know.

Interesting idea, but multi-element costs (such as the upgraded version's ability) are generally not encouraged to be put in a card since they would be very difficult to code.

How about changing the cost to  :life :life ?

I was afraid of that; cost has been changed.  It does mean that unlike the previous version, the owner will have to have an outside source of  :life in order to use every turn.

I also shortened the text from "May not be made immaterial" to "Solid"...not because it couldn't fit, but to use in other cards where text space may be a premium.

I like Solid as a keyword and new passive.  The card itself is too strong to cost 0, though.  I'd take it over a pillar at least 90% of the time since you're likely not going to get more than 2 of them out early, making EQ not much more effective against it than it is against pillars (since it would destroy 3 pillars).  Additionally, the upgraded card is basically a free SoG that drains :life and generates :earth!  I look forward to seeing 'Solid' on other cards, but I feel Tree of Life may be a bit too redundant with pendulums and other existing cards as it is currently.

2 random quantum to cast should be okay. I do see what Manipul8r's point though - how about making it's ability buff creature stats, to reduce redundancy?

True.  There is the fact though that with any kind of ability, it won't stack in a single slot, meaning players might have to worry about permanent spaces.  Is that, Solid, and the fact that you have to pay quanta to bring it out enough to balance it, or does it actually need that extra  :life  for cost?

Hmm.  What about spinning off the Life concept into creature generation, such as  :life :life: Spawn a 2/2 creature (to be named later)? Yes, Horned Frog is 2 :life to create a 3/3, but the savings on card space plus other factors should be a good balance.  Actually, maybe the unupped could spawn a 1/1 for  :life as well.

HELLO! This is interesting. Solid sounds nice and, well, solid! *Laughter*
For the summoned creature suggestion, how about a life/earth duo, seeing as it generates those two elements of quanta. It might generate either of:

Leaf Sprite | Root Sprite
 :life
2|2
0: Sacrifice to give +2|+1 to target creature.

Dust Sprite | Soil Sprite
 :earth
1|3
0: Sacrifice to give +1|+2 to target creature.

It might stack so you could only use the ability once, just so that it wouldn't generate 6 Sprites a turn.
