It seems balanced and the effect fits but does the unupped cost 4 or 5 because the picture says 5 but the grid says 4.

I'm guessing you know about Fate/stay night (http://en.wikipedia.org/wiki/Fate_stay_night) then. ;)   Although the girl in the image, Saber, is based off King Arthur, she is not actually King Arthur.

Maybe the upped should lose one hp really it works either way it just depends on how much you value the ability and the 1 dmg.

Nice card, good balance.

I do have some concerns about the card images, however.
Photobucket has been known to have members who rip (possibly copyrighted) images from the original website or a site with connections to the original webpage. I highly suggest you find new images, and to be safe I recommend that you not use photobucket to find images. Nothing against you, but better safe than sorry here.
