NOTES:
Every creature buffed by Nightfall and/or Eclipse will generate one :darkness for every attack it would have made while this is in effect.
Stacks with the devourer passive, only your creatures are affected to prevent perfect counters against Incarnate and alike.
SERIES:

Idea behind the two :darkness reduction for the upgraded is one reduction for being upgraded, and one extra reduction to compensate for Eclipse costing one more than Nightfall.

General application for the card is to allow you to rapidly stock up on :darkness while your opponent is blocking you with their shield.

I'd rather see it artless than give it art as crappy as my own :(

Seems quite cool however it doesn't seem to have much use.

Since it is a permanent, it needs a cost or something to activate the ability maybe?

This might be useful for vampire/devourer decks.

How would this function with Adrenaline?  I'm assuming like with Pest where it generates quanta based on half of its # of attacks rounded up, correct?  Because if that were the case I would love to throw this in an Adrena-Pest deck :)

This might be useful for vampire/devourer decks.
The ability is passive and affects all creatures, the main use is to stock up quanta for either Fractal, or Drain Life. Since you'd rather have extra quanta for it, then have them attack and do no damage, or kill themselves on Thorn Carapace/Fire Shield.

How would this function with Adrenaline?  I'm assuming like with Pest where it generates quanta based on half of its # of attacks rounded up, correct?  Because if that were the case I would love to throw this in an Adrena-Pest deck :)
I wasn't sure about this, I wouldn't mind it giving 4, but if it's OP then it had better be 2 :)

Yes, that's the idea, otherwise you could simply put up a bunch of devourers and use this card for (too) easy quanta.

The artless art is surprisingly good -- the generic Darkness card background fits with the theme of being hidden in the shadows :)

Now about the card itself. Its costing alot to get the conspiracy into play and its effect is minimal when compared to a steal or momentive effect circumventing the shield. If you need it to get quanta then you need a better payoff.
Firstly, allow the conspiracy to last as long as required and give the permanent itself a sacrifice option.
Next, you are reducing your killing of the opponent for only a single :darkness. How about swapping the damage dealt by your creatures into equivalent quanta gain and if Eclipse / Nightfall is in effect have that eclipse/nightfall drain from the opponent a number of quanta equal to the number of death darkness creatures you control.
It might also be plausible to simply have all damage on a single turn transfer quanta from the opponent to you.
Cost for such a card in its current form needs to come right down to be useful, 1 :darness and 0 :darkness just to be playable.
Some other things to attach to conspiracy.
Free healing of a kind representing you avoiding damage
Subversion of the opponents Quata or resources
A bonus for you revealing the conspiracy and a penalty for it being forceably revealed.

I couldn't really think of a way to picture a conspiracy, this picture doesn't really look element-like enough to me, though it fits a human conspiracy.

Can't you see an immortal and a fallen druid in love and you a minion of darkness in the shadows simply watching?
The art just needs to be representitve, its not going into the game, but makes a nice idea for an artist to create from.

Look at it this way, If I would do 10 damage from 5 vampires, I instead am gaining 10 darkness. Thats a a trade of 10 life for 10 :darkness, is that not fair? You say it is OP with Siphon, but you are causing 10 less damage to gain 2 more points of damage on siphon.

PS. a reflective or emerald shield that you couldn't steal in the first place still has you up a tree. If you can't steal it in the first place you're not going to be able to do anything with it after the fact.
