Passive PC. The idea is good.

But I suspect that not only the original, but all the copies will duplicate, just ast Malignant Cells. Which would be OP. Either double the cost, or make the mitosis happen every second turn

Also, since the upped card has significantly different effect, it should have a different name in my opinion

This has been done before, in the terms of weeds.

Upgraded should have a different name.

This is not super OP, since you could destroy an Overgrowth then place the perm you want, and because it probably wouldn't stop you from playing pillars/pendulums in an existing stack. However, if this has been done before, you should change it to be more original.

What, for the upgraded version? If it takes two turns, they have a reasonable chance of pulling PC of their own which often can target their own permanents. Plus, it has all the limitations mentioned by montrossen. Not too out of whack.

Weird. The upgraded is a spell and the unupgraded is a permanent.
You could just make a spell and permanent.
Spell: A random enemy permanent becomes overgrowth
Permanent: A random permanent on this side of the field becomes overgrowth
