maybe its a bit owerpowered with phoenix, but - also then - you have lack of attack power (and opponent chance to kill phoenix), and also only against non-flying creatures, so i think, its nice.

as is in many games (Mtg mainly with regenerate) sacrifice =/= death. the phoenix wouldn't turn into ashes since it never died it was launched as a firey projectile

Well, since in the current game immolating a phoenix turns it into ash, and that's also sacrifice: no, you are wrong, sorry. =)
