I think this will make a decent neutral card, its as splash able as other neutral cards, and like the name states, it spontaneously generates life from non-living matter. its simple and straight to the point. it also could be a nice addition for all those who have earned marks during their careers as tourney players.  tell me what you think.

It's too expensive. Think of fate egg or mutation as comparisons for balancing the cost.

Mutation: 2 cards, 2 :entropy --> 1 random creature
Fate egg: 1 card, 4 :time --> 1 random creature
Abiogenesis: 2 cards, ? :rainbow --> 1 random creature.
 
As for making a card image, the tool's the best place to start!

I also was aware of the cost. but then I considered that it was a neutral, card. one that can be splashed into any deck, that could give you a dragon, perhaps it would be better at -1cost. but I really feel, it is about right. at least for what it does, and how. I'm also of course setting it, with future cards in mind. that would make it more favorable or op, in comparison.

Hmmm... why not have it match the element of the permanent you sacrifice? I think that would give a bit more control, and would be neat thematically (e.g. the permanent is getting used to fuel the creation of a creature).

Given the relatively high cost, I think a little extra flexibility wouldn't hurt.

Effectively this is a 4 :rainbow + 2 :underworld cost (since a generic card / permanent is typically valued at 2 :underworld )

While this is faster and less prone to CC than eggs, it does require more cards, and at 2 cards it has to stay competitive with Egg + SoR which yields 2 creatures instead of 1. So, again, I think a little bit of a buff wouldn't hurt.

ok, I originally considered that I didn't want to infringe upon water nymphs ability where she turns pillars into creatures; also considered the effects that would result in targeting a neutral permanent with regards to permanents deciding the creature spawnd, and I saw that many of the very few neutral cards we have thus far, had a sub-ability related to marks, so I figured maybe that is its thing. and I would like to build on that. and there are plenty of permanents that are sacrifice-able atm. in a dual  beneficial manner. and I'm sure more to come. and I have also noticed that neutral has good decent base abilities, but none are good enough that you would generally resort to using them over an in faction version.  and I also wanted to stick to that. with this spawn card.

actually I reconsidered, though eggs+sor. is 2 cards,+5cost. to get 2 creatures.  and mutate is 2cards +2cost. and skeleton is 2cards, +3ishcost.  that this would be ok at 3cost, 2cards. that ill make it so you can drop upd quantum tower, sacrifice it summon a mark based unupd creature first turn. that is close to egg power without overshadowing it. imo.

I think the unupgraded version is okay at 3 :rainbow ... The upgraded is still a little expensive.

The problem is that high cost :rainbow cards tend to overly favor rainbow based decks. If you mean this to be 'splashed' into non-bow decks, a cost of 5 is a little high.
The main reason for this is that, although you have a chance to get a dragon out of it, the mean / median cost of the creature you get is going to be less, especially if you factor in the effective +2 :underworld cost...
personally I wouldn't pay that much for a random creature in anything but a bow.

I think egg+sor and skeleton+RW are the fairest comparisons, mutate is a special case since you have a high chance to get an abomination out of it unupped and upped you have access to creatures and skill combinations that are not normally available, not to mention that the skill costs are often much lower than normal as well.

So to the point, the unupgraded giving 1 creature for 3 :rainbow and 2 cards is okay, mainly since most decks will have permanents readily available throughout the game.
The upgraded version, however, is equally expensive (in non-bow decks) to the SoR egg combo and gives you only 1 card instead of 2. So this seems clearly UP.

I'm un-wanting to change its cost down from 5, however, in spirit of everyone's ideas, and insights. perhaps I will alter the upgraded one. to create 2 creatures. it is same cost as egg/sor, but still restricted to marks you control.

thank you hyroen, for putting it in the right section for me. it has been along time since I used these features. I'm having to relearn most of it.
also; thank you everyone for your input; hope to hear more to fully flesh out the idea.

I never was good at getting the card to appear, and I'm absolutely not artistic. I am hoping that someone can find/make a picture, and assist me in applying it. that would give the card more depth and make it more appealing to discuss.

http://imgur.com/a/62il5  cant get this image to add into the modify. but I did manage to fix/add the missing texts. my first versions included the word random. but I missed in when I remade them. and its so much trouble to get image, to work its not worth going back and remaking it again. besides its in the description part of card. so I don't think its that big a deal.
