Actually, this is kind of OP.

Before HP buffs:
[1x Card] Trojan Horse [5 :gravity + 3 :death ] for 6 poison

[3x Cards] 3x Poison [6 :death] for same effect.

[2x Cards] Forest Scorpion [3 :life ] + Adrenaline [6 :life ] for same counters.

Other effects take at least three turns.

Also, the topic title should be [unupped name] | [upped named], i.e. "Trojan Horse | Trojan Horse"
There should be spaces between the pipe dividers for ATK | HP.
The data in your upped table went a bit awry.
"Google Images" is not a reliable source as copyrighted images that you do not have the permission to use show up in a google search all the time. You should provide a link to the image's webpage that either has a license on the page or whose domain name makes the license clear.

The un-upgraded card is extremely underpowered, as it costs 2 extra quanta to use, notwithstanding the necessary ATK buffs and the required CC.
If the unupped card's effect will scale with ATK, I suggest you make it cheaper than the upgraded card.

I'm not so sure its all that OP. Even before hp reduction. At least not as I'm reading it. It gets shunted to the opponent. So if they have any  :death on them, they can buff it and send it right back. Both players can end up getting poisoned so the advantage isn't that big over a scorpion, which will not poison you back unless they have a means to copy it themselves.
I admit, though, I am a little biased since I personally love cards that use a "double edged sword" type of mechanic for balancing.
Whether the glass is half full or half empty is a moot point. It is always filled to the brim. It is only a matter of by what. The real question is: What fills you?

I also think you could decrease the ability to 1 (if it's too powerful, then you could decrease its attack). Otherwise, increase the upgraded's ability cost.

I've upped the upgraded abilities cost to  :death :death :death but i'm a bit wary about decreasing them to  :death. I feel the upped version would be a nightmare in this case- inflicting 6 poison each transfer it could stack up too quickly if both sides have death pillars or quanta supply
