Back OT: This is a bit too substantial in the regions beyond the game. The process of upgrading has always been sort of beyond the metagame system, whereas this would be introducing an isolated concept into an active system. I just get bad vibes, is all.

I would switch it around.  So unupped it downgrades which gives advantages over people with upgraded cards.

v This.  It's meant to be an extremely bad pun.  Also I think it would be better to have the unupped be Upgrade (yes, oxymoron) because newbies don't have as much access to upgraded cards. As they improve, they will start upgrading cards, and Upgraded cards will then have the counter in the form of Downgrade.

Seems too specific, maybe if it did somethign extra if the upgrade it would work better.   
I agree that it does need refining, but the basic concept is established at least.   Suggestions on additonal effects are welcome, or do you think it's fine the way it is?  I've added a poll for that.

I think both are = in power so they should have the same cost.

This would turn any creature to its original unupped just played form. If it is a mutant the mutation is removed and any buffs or status effects.

I agree. This card just gives me a bad vibe. It bring into the game it's self an effect that takes both time and points to do. The unupped card lets anyone gain an upped version of any permanent or creature. Just does not fit in the game to me.

are that really OP to not make something like this? 

for upgrade.  what should it can do with 1 card slot and 3 quanta?   buff atk and debuff hp a bit for red dragon?  make voodoo have more 4 hp?  +1 atk for green scorpion?

that's not look so powerful at all.   only some card that will be great with this thing.  archangel.  druid  or something?

and for downgrade.  that don't have much thing to do too.  only debuff some of your opponent card...  (great only some card for me. hourglass that change card cost from  :time :time to  :time)    but will great with some your card like phoenix or abominant.

I think it's an absolutely awesome idea, it fits time's theme more than other and it's incredibly versatile and interesting. I was actually thinking about something similar, but since you made it first, gratz.

Time and money yes. However keep in mind that every Upgrade and/or Downgrade included in a deck could be used instead for more useful cards like precognition and supernova.

I'd say on the field only. As karis stated, this card isn't as great as it looks.  It does debuff/buff more cards minorly, with Angel being the "rare exception" and the only card to gain a major buff.  Also, you can't upgrade spells due the fact you have to play the card first on the field.  Downgrade is a minor CC that could also be somewhat useful with cards that weaken themselves when upgraded, but it's main purpsoe is to debuff enemy creatures.

I voted for a slight increase. Personally, I feel that upgrading (or downgrading) certain creatures and permanents can be a major benefit depending on what you up/downgrade, especially those with dramatic damage-cost ratios between their forms (Steam Machine, for example, can lose 9 HP at the cost of 3 random quanta by downgrading it). Also, for cards that change over time (Lava Golem, Forest Spirit, etc.), this would probably be one of the most dynamic forms of CC out there depending on the creature you hit this with, as you said that their stats will not carry over when changed (meaning that a fully grown Lava Destroyer could be 5|1 immediately). Since the card can virtually be used in any deck, it's accessibility should also be a concern to the cost.

I'd say 5->4 would be a much more appropriate cost.
